The legal relations established via this online platform between the ART Patterns and its customers (hereinafter referred to as ‘Licensee’) shall be exclusively subject to the following General Terms and Conditions in their current version at the time the relevant contract is concluded. These General Terms & Conditions shall exclusively apply to business transactions between ART Patterns and Licensee.
In order to be able to buy designs from ART Patterns, the Licensee must register to open an user account. The Licensee must not provide incorrect or misleading information during registration process (such as name, email address). The licensee shall be entitled to request at any time that ART Patterns deletes its user account or deactivate its account with user name and passwords. Such request must be made via email. Should the Licensee terminates the registration by notice then Licensee’s user account shall be deleted and the user name and password shall be deactivated.
English will be used as a contractual Language
The Licensee should submit an offer by placing an order, the process of which makes a binding offer aiming at the conclusion of a contract in the cart. Within the process of placing an order the Licensee has to accept explicitly these General Terms and Conditions applicable to the legal relationship between the Licensee and ART Patterns.
The prices are in GBP and included the legal value added tax of 20%. The invoiced amount shall become due immediately upon receipt of the order confirmation. For online payments the invoice amount shall be charged to customer’s account on the due date.
The personal login data (login name, password) for the account user only. The Licensee shall be obliged to treat them with strict secrecy and must not disclose them to any 3rd party. Personal login data should be changed in regular intervals for security purposes with the aim to prevent unauthorized 3rd party access.
ART Patterns shall be entitled at any time and without prior notice to terminate the Licensee’s user account or to block it.
ART Patterns reserves the right to cease to render offered services or to remove links to other websites.
ART Patterns shall not be obliged to provide specific contents
ART Patterns shall be entitled to take legal action in case of any suspected counterfeit merchandise, in particular in case of prohibited reproduction of designs or sub-licensing
A similarity with existing designs can not be excluded. Therefore, ART Patterns does not guarantee that other copyright holders do not design similar designs at the same time.
The contractual relationship between ART Patterns and the Licensee shall be subject to UK law.
ART Patterns collects, processes and uses user account data for analytical and marketing purposes.
The Licensee is aware of the fact that from a technical point of view ART Patterns is able to view the data in the database at any time with accordance of Privacy Policy of ART Patters.
ART Patterns sells digital files, which as such cannot be returned the same way as physical goods once purchased. In case Licensee is not satisfied with one or more elements of the pattern design purchased, we will provide with the following service:

The Licensee much notify ART Patterns immediately of any defect or damage to the print purchased from ART Patterns. Unless otherwise stipulated in the license contract the Licensee shall not be entitled to resell or otherwise transfer the print or licenses thereto. Warranty (liability for defects) shall only apply to entrepreneurs and not to consumers. Except for cases in which the Licensee has a statutory right of rescission, we reserve the right to settle any warranty claims by improvement, exchange or a reduction in price, in our discretion. The Licensee shall be obliged to prove that the defect existed at the time of purchase. The Licensee must notify ART Patters within 7 days after the download at the latest, of any detected type and scope of defects. If the Licensee fails to notify ART Patterns of any defect within the stipulated time period, the designs shall be deemed accepted. In such cases, the Licensee shall not be entitled to assert any warranty claims or claims for damages or to assert any avoidance on the grounds of error due to defects. The warranty period shall be 3 months starting as of the time of download.

ART Patterns points out that it doesn’t assume any liability for the use of the contractual designs. ART Patterns does in particular not assume any liability if such use violates any 3rd party property rights such as trademark rights, copyrights or registered designs. Claims for damages for slight negligence shall be excluded. This shall also apply for the benefit of ART Patterns legal representatives and vicarious agents to the extent the Licensee asserts any claims against them. Claims for damages shall become statute-barred 12months after the damage and the party responsible for such damage become know.
The contractual relationship between ART Patterns and the Licensee shall be subject to UK law. Prohibition to assign and pledge. The Licensee shall not be entitled to assign or pledge any claims and rights. The Licensee is entitled to assert against ART Patterns, unless ART Patterns gives its written consent. ART Patterns shall not be obliged to give such consent unless the Licensee can prove that it has a legitimate interes in such assignment or pledge.

Right of set-off and retention. The Licensee shall not be entitled to any right of set-off unless its claim is undisputed or recognized by declaratory judgement. Moreover, the Licensee may only exercise its right of retention to the extent its counterclaim is based on the same contractual relationship.
